Should I upgrade KPackageKit?
I keep getting this info message saying that my distribution upgrade is available for precise 12.04.1 LTS
I'm a little skeptical about installing it because when I first installed BT 5 it showed me that and I started the upgrade. After the upgrade was done my desktop looked completely different and I was unable to find any of my BT software.
Did I do it wrong or should I just ignore these messages?

This happens when either you (or some software that you installed) has altered the source's of the repository.
From a clean install of backtrack 5:

Using other sources other than the official repository, isn't recommended.

do not upgrade..This will cause your system to change the login screen as well as other things, including root password. There are some threads about people upgrading the KDE version...Search for those threads here in the forum..
