I just installed BT5R3, check for updates and there is distribution upgrade available - 12.04.1 LTS, what's up with that?
Check your source list and make sure you don't have any other repos there.
On the fresh install, I shouldn't have anything unusual in the source list, anyway here it is.

That is a Ubuntu 12.04.1 install. Don't install it! It overwrites your BackTrack install and replaces it with either GNOME or KDE Ubuntu
Why is it there if it's not a part of backtrack?
Because BackTrack is based of Ubuntu, and when a new version of Ubuntu is available, it asks you. You can disable distro upgrade notfications in settings.

Kpackagekit Settings>>Edit Software Sources>>Update>>Release Upgrade SHOW NEW DISTRIBUTION RELEASES: type """NEVER"""""!!!!!!!!!!!!!!!!
